AutoQ End User Licence Agreement

Version 1.4 · October 2026

DRAFT FOR LEGAL REVIEW. This agreement was drafted for the AutoQ product and has not been reviewed by a lawyer. Have it reviewed, and complete every item in square brackets, before it is used with customers. It is not legal advice.

This End User Licence Agreement ("Agreement") is between [LICENSOR LEGAL NAME], [ADDRESS] ("AutoQ", "we", "us") and the organization that buys or uses the Software ("Licensee", "you"). By ticking "I accept" when ordering, by selecting "I accept the agreement" when installing, or by using the Software, you agree to this Agreement on behalf of your organization, and you confirm that you have authority to do so. If you do not agree, do not order, install or use the Software.

1. Definitions

Software means the AutoQ review server, page and installers (including Version 3.1 in its Standalone and Enterprise editions, and later updates we provide).

Content Pack means a control library workbook we supply, with its review settings and installer, such as the Data Center Security Review or the Cyber Security Review.

Included Pack means the one Content Pack you choose when you order the Standalone or Enterprise edition. Additional Pack means a Content Pack you order separately.

Questionnaire Builder means the part of the Software that turns on its Build Questionnaires page, included in the Enterprise edition and available as an add-on to the Standalone edition, together with the manual Building a New AI-Assisted Control Questionnaire and the AI prompt that come with it.

Custom Content means a control questionnaire that you create, alone or with an artificial intelligence service, whether with the Questionnaire Builder or otherwise, other than our Content Packs and changes you make to them.

Documentation means the User Manual, the Administrator Manual, their quick starts and, with the Questionnaire Builder, the manual Building a New AI-Assisted Control Questionnaire, as updated from time to time.

Order means your purchase, as recorded by our reseller (section 7), or a written quote or order form signed by both parties, stating the edition, the Included Pack, any Additional Packs and add-ons, the number of Sites and the Term.

Site means one physical or cloud location, operated by you, where one installation of the Software runs on one server computer.

Your Data means the answers, comments, names, site details, passwords, workbooks, backups and other information that you or your users enter into or produce with the Software, including your Custom Content.

2. Licence

2.1 Subject to this Agreement and payment of the fees, we grant you a non-exclusive, non-transferable, non-sublicensable licence, for the Term, to install and use the Software for your internal business purposes:

2.2 Content Packs. Your licence includes the Included Pack. Each Additional Pack is licensed separately, for use with the Software at the Sites and installations your Order covers, for as long as your licence to the Software continues. You may run any number of reviews from a Content Pack you have licensed. A Content Pack is licensed to your organization only, and you may not give its workbook or installer to anyone outside it.

2.3 Questionnaire Builder. If you license the Enterprise edition, or your Order for the Standalone edition includes the Questionnaire Builder add-on, you may use the Questionnaire Builder to create Custom Content for use with your licensed edition. The Questionnaire Builder is part of the Software for the purposes of this Agreement. It prepares instructions for an artificial intelligence service that you use under your own account and that service's terms; the Software does not send your information to that service.

2.4 You may make a reasonable number of backup copies of the Software, the Content Packs and the Documentation.

2.5 You may change the Content Packs' workbooks and review.json files, and create Custom Content, for use with the Software under this Agreement. You may not modify the Software's program files except as the Documentation describes (for example, its settings).

3. Restrictions

You may not, and may not allow anyone else to:

The Software includes program files in human-readable form. Being able to read them gives you no rights beyond this Agreement.

4. Your Data

4.1 The Standalone and Enterprise editions run on your own computers: we do not receive, store or have access to Your Data in them. In every edition, you own Your Data.

4.2 Custom Content. You own your Custom Content, and we claim no rights in it. Our Content Packs remain ours, including when you change them: your changes are yours, but they do not give you rights in the rest of the Content Pack beyond this Agreement. If we create Custom Content for you as a service, from material you supply, the Order for that service says who owns the result; unless it says otherwise, you own it, and we keep our pre-existing material, tools and general know-how.

4.3 When the review page or website is open, the browser loads fonts from Google Fonts. These requests are made by your users' browsers under those providers' terms; they do not include Your Data.

4.4 For hosted projects, we store Your Data on our servers to provide the service, as described on our website, and you may download it as a project .zip at any time during the subscription.

4.5 Sample questionnaire. A hosted free trial may include one sample questionnaire, written for a subject you describe by an artificial intelligence service that we use (currently Anthropic's Claude). To write it, we send that service only the subject and frameworks you type, never your answers, comments or evidence. The sample is for evaluating the Software: it can't be downloaded or exported, it ends with your trial, its framework references are not verified, and it must not be relied on for an audit. The instructions we use to write it are our confidential information.

4.6 Hosted questionnaire builds. Each hosted subscription includes one questionnaire build, and you may buy more. A build is a control questionnaire written for a subject you describe by an artificial intelligence service that we use (currently Anthropic's Claude). To write it, we send that service only what you type in the build form (the subject, the frameworks and any other requirements), never your answers, comments or evidence; do not type personal or confidential information in that form. The questionnaire is your Custom Content (section 4.2), and section 5.3 applies to it as if you had created it with that service yourself: you may use it with the Software and download it, but its content, including its framework references, is written by AI, is not verified by us, and must be checked by a qualified person before it is relied on. A build that fails is not used up. The instructions we use to write it are our confidential information.

4.7 You are responsible for your network, the computer the Software runs on, backups of Your Data, the passwords you set, turning on HTTPS where needed, and who you give access to.

5. Content, frameworks and AI-generated questionnaires

5.1 The control library content, test procedures, statements of fact, effects and recommendations are provided as a starting point for qualified professionals. They are not a substitute for professional judgment. You are responsible for deciding which controls apply, how they are tested, and what your reports say.

5.2 References to NIST, ISO/IEC, COBIT and other frameworks are provided for mapping only. AutoQ is not affiliated with or endorsed by the organizations that publish them, and you are responsible for checking references against the editions you use.

5.3 Custom Content that you create with an artificial intelligence service, following the Questionnaire Builder or otherwise, is created by you, using that service under its own terms. We do not control those services and are not responsible for the accuracy, completeness or suitability of their output, or for your Custom Content. You must have every such questionnaire reviewed by a qualified person before relying on it.

5.4 The Software does not provide legal, audit, accounting or other professional advice, and its findings and ratings are drafts for your review.

6. Third-party components

The Software includes or installs third-party components, including Node.js, win-acme (a certificate tool from its own authors, under the Apache License 2.0), jsPDF (the PDF library the review page uses, under the MIT licence) and open-source packages, that are licensed under their own terms (for example the MIT licence). Their licence files are included with the Software. Those terms govern those components, and nothing in this Agreement restricts rights they grant you.

7. Ordering, fees, taxes and refunds

7.1 Online orders are processed by our reseller and merchant of record, Lemon Squeezy, which handles payment, sales tax and VAT, receipts and, where applicable, refunds, under its buyer terms. We never see your card details.

7.2 Fees are as stated at the time of your Order. Standalone and Enterprise licences are annual and renew as described in your Order unless cancelled before the renewal date. Additional Packs are a single payment. The Questionnaire Builder is included in the Enterprise edition; the Questionnaire Builder add-on to the Standalone edition, and any service to create Custom Content, are priced in the Order. Hosted projects are monthly or yearly subscriptions; questionnaire builds beyond the one included with each subscription are a single payment each.

7.3 Refunds: you may request a full refund within [30] days of your first purchase of a licence if the Software does not work for you. Renewals are not refundable once the renewal period has started, except where the law requires.

8. Term and termination

8.1 This Agreement starts when you accept it and continues for the Term stated in your Order and any renewals.

8.2 Either party may terminate this Agreement if the other materially breaches it and does not cure the breach within 30 days of written notice.

8.3 When your licence expires without renewal, you may keep using the last version of the Software and the Content Packs you received, at the sites you were licensed for, without updates or support. When this Agreement is terminated under section 8.2, you must stop using the Software and the Content Packs and uninstall them. Your Data, including your Custom Content, remains yours: the uninstaller leaves your data folder in place, and your workbooks remain usable in Microsoft Excel.

8.4 Sections 3, 4, 5, 9, 10 and 12 survive termination.

9. Updates and support

During the Term we provide updates that we make generally available and email support at support@autoq-ai.com, as described on our website, AutoQ-AI.com. Enterprise Orders may include additional support. We may change or discontinue features in updates, but not so as to materially reduce the core functions of the Software during a paid Term.

10. Warranty and disclaimer

10.1 We warrant that, for 30 days after you first obtain it, the Software will perform substantially as described in the Documentation. If it does not, and you tell us within that period, we will correct it or, if we cannot, refund the fees you paid for it. This is your only remedy for breach of this warranty.

10.2 EXCEPT AS STATED IN SECTION 10.1, AND TO THE EXTENT THE LAW ALLOWS, THE SOFTWARE, THE CONTENT AND THE DOCUMENTATION ARE PROVIDED "AS IS", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ITS CONTENT IS COMPLETE OR CURRENT.

11. Limitation of liability

11.1 TO THE EXTENT THE LAW ALLOWS, NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF THIS AGREEMENT, EVEN IF ADVISED OF THEIR POSSIBILITY.

11.2 TO THE EXTENT THE LAW ALLOWS, OUR TOTAL LIABILITY ARISING OUT OF THIS AGREEMENT IS LIMITED TO THE FEES YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY.

11.3 Nothing in this Agreement limits liability that cannot be limited by law.

12. General

12.1 Export and sanctions. You will comply with applicable export control and sanctions laws in using the Software.

12.2 Government users. The Software is commercial computer software provided with the rights in this Agreement.

12.3 Assignment. You may not assign this Agreement without our written consent, except to a successor to all or substantially all of your business that agrees to it.

12.4 Order of precedence. If an Order signed by both parties conflicts with this Agreement, the Order prevails for that Order.

12.5 Governing law. This Agreement is governed by the laws of [STATE / COUNTRY], and the courts of [VENUE] have exclusive jurisdiction, except that either party may seek urgent relief in any competent court.

12.6 Entire agreement. This Agreement, with your Order, is the entire agreement about the Software and replaces any earlier understandings. If any part is unenforceable, the rest remains in effect. A failure to enforce a right is not a waiver.

12.7 Notices. Notices to us go to [LEGAL NOTICES EMAIL]. Notices to you go to the email address used for your Order.
